Alpha Testing Agreement & Terms of Service

This agreement is between Bigby.cloud Ltd ("we", "us") and you ("you").

This agreement covers the following products and services provided by us:

  • Bigby.drive (cloud storage, office suite, and collaboration features)

1. About this document

You will see phrases like "applicable law" in this document. Many service providers ask you to agree to lengthy terms full of dense legal language, some of which may not be enforceable if challenged in court. Our approach is different: we write in plain English, use standard legal phrasing only where the law requires it, and do not try to override rights that applicable law gives you regardless of what we write.

2. What Bigby.drive is

You are testing an early alpha version of Bigby.drive, our cloud storage and office suite. It is unfinished, potentially buggy, and may change or break at any time. This means it is not necessarily of the quality, reliability, or fitness for purpose you would expect from a commercial release, and you should treat it as experimental software only.

3. What we promise (and do not promise)

We provide the service "as is" and "as available" with no warranty of any kind. We do not guarantee:

  • uptime or availability,
  • that your data will not be lost or corrupted,
  • that the service is secure or free from vulnerabilities,
  • that it will work for your specific needs.

To the fullest extent permitted by applicable law, we exclude all implied warranties. This does not affect your statutory rights as a consumer.

4. What you agree to

  • You will use the service only for testing and evaluation.
  • You will provide feedback to us about the service within 30 days of it being requested.
  • You will not use it for critical business operations or as your sole copy of important data.
  • You will not upload anything illegal, harmful, or that infringes anyone else's rights.
  • You confirm that you have the legal right to upload anything you store, including any personal data about your clients or contacts.
  • You will keep your account credentials secure and not share them.
  • You will not reverse-engineer, scrape, or attempt to break the service.
  • You agree that details of this alpha test, including screenshots, feature descriptions, and performance observations, are confidential and you will not share them publicly or with third parties without our written permission.

5. Your content and intellectual property

You own the files and data you upload. We do not claim ownership of your content. You grant us a licence to store, host, and process your content solely to run the service for you.

You grant us a perpetual, royalty-free licence to use any feedback, bug reports, or suggestions you provide to improve our products.

We own all intellectual property in the service itself, including, but not limited to, code, design, and branding.

6. Liability

Because this is an alpha test, our liability is strictly limited. To the fullest extent permitted by applicable law, we exclude all liability for:

  • loss of profits, revenue, or business,
  • loss of data,
  • indirect or consequential loss,
  • any loss caused by your failure to keep backups.

For free users, our total liability under this agreement is capped at £47.88 (12 months of our lowest priced listed subscription on https://bigby.cloud/drive at the time this agreement was written). For paid users, our total liability is capped at the amount paid in the last 12 months.

7. Indemnity (covering our costs)

You agree to cover our reasonable costs, losses, damages, and legal fees if we face any claim, demand, legal proceedings, or investigation by any competent authority arising from your content, your breach of this agreement, or your violation of any law. This obligation does not apply to the extent that applicable law prohibits it.

8. Refunds and cancellation

Refunds during the alpha testing period are provided only at our sole discretion. By accessing Bigby.drive, you expressly request immediate service and acknowledge that any statutory 14-day cooling-off or cancellation right ends once your account is activated.

9. Termination

Either of us can terminate this agreement at any time, for any reason, with immediate effect by notifying the other. We may also suspend your access immediately if you misuse the service or breach this agreement.

When the agreement ends, we will delete or return your data in line with our Privacy Policy.

10. Data protection

The way we handle personal data is set out in our Privacy Policy. If you upload personal data about your own clients or contacts, we act as a processor for that data and our Data Processing Agreement applies.

11. General

  • This agreement is governed by English law. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising from this agreement.
  • If any part of this agreement is unenforceable, the rest remains in force.
  • Clauses relating to confidentiality, intellectual property, data protection, liability, and indemnification survive termination of this agreement.
  • Our Privacy Policy and Data Processing Agreement are incorporated by reference and forms part of this agreement.
  • This is the entire agreement between you and us.
